Service Provider
These Terms of Sale govern the subscription to paid services offered by:

Services Offered
The service provider offers paid subscription plans for QGIS plugins that provide AI-powered geospatial editing capabilities. Each subscription includes:
- Access to the specified QGIS plugin features via a unique activation key
- A monthly quota of AI processing operations (image generations or segmentations)
- Technical support via email
Current offering: AI Edit at EUR 29/month with a quota of 3,000 credits per billing period. AI Segmentation Pro at EUR 39/month with two monthly allowances: 200 km² of Automatic detection, where the ground area of each zone is counted in km² on the map, and 500 objects saved in the Cloud AI click mode. The Pack at EUR 59/month carries both. The free plan carries 3 km² and 50 objects per month under the same counting, and Semi-Auto processing on the user's own machine is not metered. Unused allowances do not carry over to the next period.
License and Authorized Use
Your subscription and its activation key are strictly personal:
- Granted to a single named user.
- Grants that user commercial use of the results the service produces, in their professional work.
- Sharing the key, or using it within a team or an organization, is prohibited.
- Any multi-user use requires a dedicated team plan.
- TerraLab reserves the right to suspend any key in the event of shared use.
The free plan carries no commercial use: it is granted for evaluation, personal use and academic study only. Results produced while a paid subscription was live stay licensed for commercial use after that subscription ends. The QGIS plugins themselves remain free software under the GNU General Public License version 2; this clause governs the AI service they call and what it returns.
Restricted Uses and Export Control
AI Segmentation's cloud detection runs Meta's SAM 3 model under the SAM License, which forbids certain end uses and requires us to pass that ban on. The customer agrees not to use the service for any activity subject to the International Traffic in Arms Regulations (ITAR), or for any end use prohibited by export or import controls or by sanctions, including military or warfare purposes, nuclear industries or applications, espionage, or the development or use of guns or illegal weapons. The customer confirms that they are not a target of sanctions administered or enforced by the United States, the United Nations, the European Union or the United Kingdom. These limits cover the cloud detection only: Semi-Auto segmentation running on the customer's own machine does not use SAM 3 and is not restricted by this clause. TerraLab may suspend a subscription that breaks this clause, and the full terms are set out in our Terms of Use.
Imagery You Send Us
You keep every right you hold in the imagery you send. By sending imagery, prompts or reference images for processing, you confirm two things: that you own them or hold the rights needed to have them processed and stored by a service provider on your behalf, and that doing so breaks no licence you are bound by. Commercial satellite imagery is often licensed on terms that limit who may copy it and where, so read your own licence before you send that imagery. You grant TerraLab SAS a non-exclusive, worldwide licence to store, copy and process the imagery you send, for one purpose only: running the service for you. That covers carrying out your request, keeping your history, restoring from backup and answering your support questions. The licence lasts as long as the imagery is held on your account and ends when it is deleted. We do not sell your imagery, we do not share it with other users, and we train no model on it. If you send imagery you have no right to send, you answer for that choice and for any claim it causes. To report a rights claim, follow the route set out in our Terms of Use.
Pricing, VAT and Payment
Prices displayed on the website are quoted in euros (EUR) excluding tax (HT). The applicable French VAT (currently 20%) is applied at invoicing for subscribers established in France and for individuals residing in the European Union. For business subscribers established in another EU member state who provide a valid intra-EU VAT number, the reverse charge mechanism applies in accordance with Article 196 of Directive 2006/112/EC (the invoice will bear the «Reverse charge» mention). Subscribers established outside the EU are invoiced without VAT. Payment is processed securely by our payment processor (Stripe). Accepted payment methods include credit and debit cards (Visa, Mastercard, and other major networks) and electronic wallets supported by Stripe.
Price Changes
Subscription prices may change to reflect our costs, in particular the cost of computing and hosting AI processing, and to reflect changes in the features included. We notify you of any change individually by email at least thirty (30) days before it takes effect. The notice states your current price, the new price, and the date it will apply to your subscription.
The new price applies to your first renewal on or after that date. You may cancel your subscription free of charge and without penalty at any time before that date, from your dashboard or the Customer Portal. Your subscription then stays active until the end of the period you have already paid for, at your current price.
For business subscribers, the notice period is sixty (60) days. You may terminate the subscription free of charge and without penalty before the effective date. If you do not terminate it, the new price applies to your first renewal on or after that date. Either party may terminate the subscription on that date.
No price change applies to a billing period already paid for. Prices set by a public procurement contract or a signed agreement stay firm for the term of that contract.
Subscription and Renewal
The subscription runs for an indefinite term and is billed monthly, renewing automatically on the same date each month. You will be charged the subscription fee at the beginning of each billing period. You can cancel your subscription at any time through the Customer Portal accessible from your dashboard.
Cancellation
You may cancel your subscription at any time via the dashboard or the Customer Portal. Upon cancellation, your subscription remains active until the end of the current billing period. After the period ends, your activation key will be deactivated and you will no longer have access to paid plugin features. Your activation key is preserved and will be reactivated if you resubscribe.
Right of Withdrawal
In accordance with Article L221-28, 13° of the French Consumer Code, by subscribing you acknowledge that the digital service begins immediately upon payment, and you expressly waive your 14-day right of withdrawal. The service is accessible immediately after payment confirmation.
Refunds
Since the right of withdrawal is waived upon immediate access to the service, subscription fees are in principle non-refundable. The service provider may, however, grant a refund on a case-by-case basis, in particular in the event of a technical defect attributable to the service. Refund requests must be sent to yvann.barbot@terra-lab.ai. Any refunds granted are processed within 14 business days to the payment method used for the subscription.
Data Processing
When using our plugins, your geospatial raster images, prompts and any reference images you provide are sent to our secure AI processing infrastructure for analysis. For AI Edit, this analysis may be performed on infrastructure located outside the European Union. For AI Segmentation, it takes place on our infrastructure in the European Union: automatic detection sends tiles of the zone you select, and the Cloud AI click mode sends a small square of the imagery around each click. The plugin names where each mode runs, before you start it. Inputs, generated outputs, reference images and detection tiles are stored on infrastructure located in the European Union for the lifetime of your account, allowing us to offer generation history, support and continuous service improvement. The square sent by a Cloud AI click is the exception: it is held in memory for the length of your session and never stored. For full details on data handling, please refer to our Privacy Policy.
Limitation of Liability
The service is provided "as is". The service provider does not guarantee specific results from AI processing. Our total liability for any claim is limited to the amount you paid in the 3 months preceding the claim. The service provider shall not be liable for any indirect, incidental, or consequential damages.
Modification of Terms
The service provider reserves the right to modify these terms. Any material changes will be communicated at least 30 days before taking effect via email. Continued use of the service after the effective date constitutes acceptance of the modified terms.
Contract Assignment
The subscriber acknowledges and agrees that TerraLab SAS may assign, transfer, or novate any or all of its rights and obligations under this subscription agreement to any legal entity succeeding to the business of the service provider, including in the context of a merger, demerger, partial business contribution, or sale of business. Such transfer shall not affect the subscriber's rights, the quality of service, or the terms of the subscription. The subscriber will be notified of any such transfer at least 30 days in advance by any appropriate means. Continued use of the service after the effective date of the transfer constitutes acceptance.
Applicable Law and Jurisdiction
These terms are governed by French law. For business subscribers, the courts of Paris shall have exclusive jurisdiction over any dispute regarding the formation, performance, or interpretation of these terms. For consumers residing in the European Union, the mandatory rules of Regulation Brussels I bis (EU No. 1215/2012) apply, allowing them to bring proceedings before the courts of their place of residence. The parties shall first attempt to resolve any dispute amicably before initiating judicial proceedings.
Invoicing
An invoice is automatically generated for each payment and made available in your Customer Portal (Stripe Customer Portal). In accordance with Article L441-9 of the French Commercial Code and Article 242 nonies A of Annex II of the French General Tax Code, each invoice contains the mandatory mentions: company name, legal form and share capital of the service provider, SIREN, RCS number, intra-EU VAT number, registered office address, customer identity, sequential invoice number, issue date, service description, unit price excluding tax, VAT rate and amount, total inclusive of tax, payment terms and due date.
Late payment penalties and fixed indemnity (B2B)
For business subscribers, in accordance with Article L441-10 of the French Commercial Code, any late payment automatically triggers, without prior notice, late payment penalties equal to three times the legal interest rate in force, as well as a fixed indemnity for collection costs of 40 euros (Decree no. 2012-1115 of 2 October 2012). Additional compensation may be claimed upon supporting evidence if actual collection costs exceed this amount.
